Terms of Service

Authorization & Site-Modification Requirement: CloviShield is a website security and remediation platform. In addition to scanning, CloviShield actively modifies the target site — quarantining suspicious files, patching or updating components, and hardening configuration. You may only use CloviShield on a website that you own or for which you hold explicit, prior written authorization both to control the site and to have changes applied to it. Applying changes to a site you do not own or are not authorized to modify is prohibited and may violate computer fraud and abuse laws. CloviShield accepts no liability for unauthorized use of the Service.

1. Acceptance of Terms

By accessing or using CloviShield (the "Service"), operated by CloviShield ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and CloviShield. Your continued use of the Service following any modifications constitutes acceptance of the revised Terms.

The Service is provided on an "as-is" and "as-available" basis. Features and functionality may change at our discretion. Remediation actions interact directly with your site's files and configuration; they are powerful by design and you authorize them by enabling them (see Sections 5 and 6).

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

5. Authorization and Consent to Modify Your Site

CloviShield does not merely observe your site — it makes changes to it. For each site, target, or connected property you submit to the Service, you represent, warrant, and covenant that:

CloviShield reserves the right to investigate suspected unauthorized use and to cooperate fully with law enforcement authorities in connection with any such investigation.

6. Scope of Remediation Actions

When you enable remediation, you authorize CloviShield to take the following categories of action on the target site:

You may scope, limit, or disable remediation categories where the Service provides such controls. Where you have enabled automated remediation, you authorize CloviShield to act without seeking case-by-case approval for actions within the enabled scope.

7. Quarantine-Not-Delete Policy

CloviShield's default policy is to quarantine, not delete. Files identified as suspicious or malicious are moved into a secure, isolated quarantine vault rather than permanently removed. Quarantined items are retained for a 30-day restore window, during which you may request restoration of any quarantined file to its original location. After the 30-day window, quarantined items may be permanently purged. You are responsible for reviewing quarantine notifications and requesting restoration within the window if a quarantined file was a false positive.

8. Reversibility, Logging, and Audit Trail

Remediation actions are logged and designed to be reversible. CloviShield maintains an audit trail recording each action taken, the affected file or configuration item, the timestamp, and the initiating account. Where technically feasible, actions can be rolled back to a prior state, and quarantined files can be restored within the restore window. The audit trail is provided to support transparency and recovery; however, full reversibility cannot be guaranteed in every environment, particularly where a site has been damaged by a pre-existing compromise or where you have made conflicting changes outside the Service.

10. Remediation Disclaimers and Customer Responsibilities

CloviShield makes no warranty, representation, or guarantee that:

You are responsible for maintaining current, working backups of your site at all times. CloviShield is not liable for site downtime, data loss, or functionality changes arising from a pre-existing compromise, malware, prior misconfiguration, or conditions present on the site before remediation. The quarantine-not-delete policy and audit trail are provided as safeguards, but they are not a substitute for your own backups.

11. Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by CloviShield and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely as permitted under these Terms.

You retain all ownership rights to your site, your data, and any content you submit to the Service. By connecting a site and enabling remediation, you grant CloviShield a limited license to access, process, and modify that site solely to provide the Service to you.

12. Third-Party Data and Services

The Service may incorporate data and functionality from third-party providers, including vulnerability databases, malware signature feeds, threat intelligence, SSL validation, and DNS analysis services. CloviShield does not control and is not responsible for the accuracy, completeness, or timeliness of third-party data. Your use of the Service is subject to the constraints of those data providers' licensing terms.

13. Subscription, CloviRescue, and Payment

The Service is offered through (a) recurring subscription plans billed monthly or annually, and (b) a one-time emergency cleanup service, CloviRescue, priced at USD $79 per engagement. New subscriptions include a 7-day trial; you may cancel during the trial to avoid being charged for the first paid period. By subscribing or purchasing CloviRescue, you authorize CloviShield (through its designated payment processor) to charge the applicable fees to your payment method. Subscription fees are billed in advance on a recurring basis. Fees are non-refundable except as required by applicable law or as expressly stated in our Refund Policy.

CloviShield reserves the right to modify pricing upon reasonable notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

14. Termination

Either party may terminate these Terms at any time. You may terminate by discontinuing use of the Service and closing your account. CloviShield may suspend or terminate your access immediately, without prior notice, for any material breach of these Terms — including any violation of the authorization requirements in Section 5 — fraudulent activity, or conduct that may harm the Service or other users. Upon termination, your right to use the Service ceases immediately, and CloviShield will cease applying remediation to your sites.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. CLOVISHIELD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ALL THREATS WILL BE DETECTED OR REMOVED, OR THAT REMEDIATION WILL NOT AFFECT SITE AVAILABILITY OR FUNCTIONALITY.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOVISHIELD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS DISRUPTION, SITE DOWNTIME, OR DAMAGES ARISING FROM SECURITY INCIDENTS, PRE-EXISTING COMPROMISE, REMEDIATION OUTCOMES, OR RELIANCE ON SERVICE RESULTS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CLOVISHIELD'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO CLOVISHIELD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

17. Indemnification

You agree to indemnify, defend, and hold harmless CloviShield and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms, including the authorization and consent requirements in Section 5; (c) your violation of any third-party rights; or (d) any claim by a third party that you accessed, modified, or remediated their site without authorization.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out in writing within 30 days of first accepting these Terms. Class action waivers apply to the fullest extent permitted by law.

19. Changes to These Terms

CloviShield reserves the right to modify these Terms at any time. We will notify registered users of material changes by email or by posting a notice within the Service. Your continued use of the Service following the effective date of any modification constitutes your acceptance of the updated Terms.
